Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between Afriwork Inc., a Delaware corporation with its registered address at 651 N Broad St, Middletown, DE 19709-6400, United States ("Company," "we," "us," or "our") and you, whether personally or on behalf of an entity ("you" or "user"). These Terms govern your access to and use of the Gold Ethiopia mobile application and website (the "Services").
PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Services, you confirm your agreement to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. These Terms expressly supersede prior agreements or arrangements with you.
2. DESCRIPTION OF SERVICES
Gold Ethiopia is a specialized information aggregation platform designed for gold producing professionals, miners, traders, and industry stakeholders. The platform provides:
- Market Data: Live gold price data retrieved via API from the National Bank of Ethiopia (NBE).
- News Aggregation: Curated industry news from various third-party sources via Google News.
- User Preferences: Optional account-based notification settings to track specific market fluctuations.
3. END USER LICENSE AGREEMENT (EULA)
3.1 License Grant
Subject to your compliance with these Terms, Afriwork Inc. grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to: (i) access and use the platform on your personal device solely in connection with your use of the Services; and (ii) access and use any content, information, and related materials that may be made available through the Services.
3.2 Restrictions
You may not:
- Remove any copyright, trademark, or other proprietary notices from any portion of the Services.
- Reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Services except as expressly permitted by Afriwork Inc.
- Decompile, reverse engineer, or disassemble the Services except as may be permitted by applicable law.
- Link to, mirror, or frame any portion of the Services.
- Cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Services.
4. FINANCIAL AND INVESTMENT DISCLAIMERS (CRITICAL)
4.1 Not Financial Advice
The information provided in Gold Ethiopia is for general informational purposes only. Afriwork Inc. is not a financial advisor, broker, or tax professional. No content constitutes a recommendation, endorsement, or offer by us to buy or sell any precious metals or securities.
4.2 High Risk Warning
Trading in gold and other commodities involves substantial risk of loss and is not suitable for everyone. You should be aware of all the risks associated with gold production and trading and seek advice from an independent financial advisor if you have any doubts.
4.3 Third-Party Data Accuracy
While we fetch data from the National Bank of Ethiopia and Google News, we do not verify the underlying data for accuracy. Market data may be delayed or interrupted due to technical constraints beyond our control. You agree that any reliance on the information provided is at your sole risk.
5. USER CONDUCT AND PROHIBITED ACTIVITIES
You are solely responsible for your conduct while using the Services. You agree not to:
- Use the Services for any illegal purpose or in violation of any local, state, national, or international law.
- Harass, threaten, or defraud other users or Afriwork Inc. staff.
- Interfere with or damage the operation of the Services or any user's enjoyment of it, by any means, including uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code.
- Attempt to gain unauthorized access to the Services, or any part of it, other accounts, computer systems, or networks connected to the Services.
- Use the Services to create a product or service that competes with Gold Ethiopia.
6. INTELLECTUAL PROPERTY RIGHTS
6.1 Ownership
The Services, including its "look and feel" (e.g., text, graphics, images, logos, and button icons), photographs, editorial content, notices, software, and other material are protected under both United States and international copyright, trademark, and other laws.
6.2 Trademarks
"Gold Ethiopia" and the Afriwork logo are trademarks or registered trademarks of Afriwork Inc. All other trademarks, service marks, logos, and trade names appearing in the Services are the property of their respective owners.
7. USER ACCOUNTS AND SECURITY
7.1 Registration
To access certain features (like saved notifications), you may be required to register for an account using your email address. You agree to provide accurate, current, and complete information during the registration process.
7.2 Responsibility
You are responsible for safeguarding your account information. You agree not to disclose your credentials to any third party. You must immediately notify us of any unauthorized use of your account.
7.3 Optional Nature
Account creation is strictly optional. Users may view gold prices and general news without an account, though they will lose the ability to sync settings across multiple devices.
8. THIRD-PARTY CONTENT AND SERVICES
The Services may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party websites or resources.
9. INDEMNIFICATION
You agree to indemnify and hold Afriwork Inc. and its officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees), arising out of or in connection with: (i) your use of the Services or services or goods obtained through your use of the Services; (ii) your breach or violation of any of these Terms; or (iii) your violation of the rights of any third party, including the National Bank of Ethiopia or third-party news publishers.
10. LIMITATION OF LIABILITY
AFRIWORK INC. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES, REGARDLESS OF THE NEGLIGENCE (EITHER ACTIVE, AFFIRMATIVE, SOLE, OR CONCURRENT) OF AFRIWORK INC., EVEN IF AFRIWORK INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall Afriwork Inc.'s total liability to you in connection with the Services for all damages, losses, and causes of action exceed the amount of fifty U.S. Dollars ($50.00).
11. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." AFRIWORK INC. DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN ADDITION, AFRIWORK INC. MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SERVICES.
12. DISPUTE RESOLUTION AND ARBITRATION
12.1 Agreement to Arbitrate
You and Afriwork Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Services (collectively, "Disputes") will be settled by binding arbitration.
12.2 Location and Procedure
If you are located in the United States, the arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Commercial Arbitration Rules. If you are located in Ethiopia, the dispute shall be resolved through the Ethiopian Arbitration and Conciliation Center (EACC).
12.3 Class Action Waiver
You acknowledge and agree that you and Afriwork Inc. are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding.
13. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of the State of Delaware, U.S.A., without giving effect to any conflict of law principles, except as may be otherwise provided in supplemental terms applicable to your region (e.g., Ethiopia).
14. TERMINATION
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease.
15. OTHER PROVISIONS
15.1 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
15.2 Assignment
You may not assign these Terms without Afriwork Inc.'s prior written approval. Afriwork Inc. may assign these Terms without your consent to a subsidiary or affiliate; an acquirer of Afriwork Inc.'s equity, business, or assets; or a successor by merger.
15.3 Entire Agreement
These Terms constitute the entire agreement and understanding of the parties with respect to its subject matter and replaces and supersedes all prior or contemporaneous agreements or undertakings regarding such subject matter.
